The module will focus on identifying optimum number and time for Board members requirements. Organi- sations will also be guided on development of Board diversity matrix entailing desired profile such as skills, competencies and behavioural requirements as well as other demographics including age, gender, race, and ethnicity. Organisations will be guided on development of a board prospectus that articulate the historical perspec- tive, strategic vision and direction, agreed-upon board structure, and board member profile. In addition the development of a Board recruitment plan will be considered.
The module is designed to help participants develop and implement an effective board induction process. This is the process of introducing and orienting new directors immediately after appointment to the practices and operations of the board that they have been appointed to. It provides an opportunity for the board to explain to the new director the expectation of the board and the organization given their skills. It also offers the new director an opportunity to express their expectation and learn about the organization.
This sub-part will focus on establishment of the board, composition, committees, and general best practices appli- cable across all board committees.
The primary objective and purpose of any organisation is to conduct a lawful, ethical, profitable, and sustainable op- erational model in order to ensure its success and growth of value over the long term. This requires considerations of, and regular engagements with, all the stakeholders critical to organizational success.
This Part looks into other relevant areas of knowledge that are important for a board member and the board general- ly. These selected areas of knowledge are not exhaustive, and a board should continually identify what is relevant to its business and establish mechanisms to ensure that the knowledge is shared within the board.
Onboarding has been more written about discussed and even studied than off-boarding. off-boarding is, however, just as important. Proper documented off-boarding ensures compliance with regulations and can avoid and prevent mistakes and omissions, as well as ensure that the off-boarding process is complete.
